Diligence that protects the seller.
Every EDC engagement runs its diligence in our own data room, built around one idea: the seller's confidentiality is the deal's foundation. Rooms open per engagement; buyers enter by invitation only.
Six protections, on by default
Nobody sees anything before the NDA
Access is enforced in the database itself, not by hiding buttons. A buyer who has not signed your NDA reads zero documents, and a revoked buyer reads zero rows, provably.
Every page carries the reader's name
Documents are watermarked into the file itself with the viewer's identity and timestamp. A leaked page names its leaker, which is a strong reason pages stay put.
Every view is on the record
Who opened what, when, and how often: an immutable audit trail you can read as the seller. You see which buyers are working and which are window shopping.
Your patients stay out of it
The room runs on a strict no-PHI standard. Diligence uses de-identified summaries and financials; patient-identifiable information never leaves your practice, and anything that slips through is flagged in EDC review and locked in the database before any buyer can see it.
View-only by default
Downloads are off unless deliberately allowed per document, and when allowed, the file that leaves carries the watermark with it.
Documents as records, not files
Every document is filed by office, category, and period, so diligence works from an organized record, not a scavenger hunt. Fast diligence is worth real money at close.
“When do I get access?”
The Deal Room opens with your engagement: when EDC takes your practice to market, your room is stood up, your documents are staged and indexed with you, and buyers enter one by one as they clear your NDA. There is no public signup, because a data room you can wander into is not a confidential one. If you are in an active process with us, sign in here. If you are not yet, that is where every engagement starts.

The Deal Room is step two of six. Start with a confidential valuation: free, anonymous first if you want, and nothing is committed by asking.
