The ground rules for using this website, its tools, and the EDC Deal Room. The short version: the site informs, a signed agreement engages.
These terms apply to eslingerdental.com, the free tools on it, and the EDC Deal Room, all operated by Eslinger Dental Consultants, LC (“EDC,” “we,” “us”). By using the site you agree to them. If you do not agree, please do not use the site.
Using the site does not make you a client
Reading this site, running a tool, or sending us a message does not create an advisory, agency, or fiduciary relationship. An engagement with EDC begins only when you and EDC sign a written agreement, such as a seller representation agreement or a buyer fee agreement. If anything on this site conflicts with a signed agreement, the signed agreement controls.
Information, not advice
The site is general information about dental practice transitions. It is not legal, tax, accounting, or investment advice, and it does not account for your specific circumstances. Talk to your own attorney, CPA, and financial advisor before making decisions. Our Disclaimer explains this in more detail and is part of these terms.
The tools give indications, not appraisals
The instant estimate, the offer second read, and the deal readiness check produce indicative results from the inputs you provide and published market ranges. They are not appraisals, fairness opinions, or offers, and actual outcomes depend on diligence, buyer demand, deal structure, and market conditions.
What you send us
We treat what you share with us as confidential. Please send only information you are entitled to share, and never patient-identifiable information. By sending us material, you give us permission to use it to respond to you and to provide the services you ask for. See our Privacy Policy for how we handle it.
The EDC Deal Room
The Deal Room is available by invitation only. Access is also governed by the NDA, any fee agreement, and the engagement terms presented to you, which control over these terms for anything they cover. While using the room, you agree:
- to keep your sign-in credentials private and not share your access with anyone;
- to use documents only to evaluate the transaction you were invited to review;
- not to remove, obscure, or work around watermarks or access controls;
- not to copy, scrape, or bulk-download material except as the room permits; and
- not to upload patient-identifiable information, malware, or material you have no right to share.
We may suspend or revoke access at any time to protect a seller, a transaction, or the room. Room activity is logged, as described in our Privacy Policy.
Acceptable use of the site
Please do not use the site to break the law, send spam or automated submissions, probe or disrupt our systems, or copy the site’s content in bulk. We may block access that does.
Our content
The site’s text, design, graphics, tools, the EDC name and Ledger E mark, and the EDC Dental Multiples Watch belong to EDC or its licensors. You are welcome to read, share links to, and quote short passages with attribution. Please do not republish substantial portions or use our marks without permission. Third-party sources cited in our research belong to their owners.
Links to other sites
We link to sources and other websites for reference. We do not control them and are not responsible for their content or practices.
No warranty
We work to keep the site accurate and available, but it is provided “as is” and “as available.” To the fullest extent the law allows, we make no warranties about the site’s accuracy, completeness, or availability, or that it is free of errors.
Limits on liability
To the fullest extent the law allows, EDC is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, arising from your use of the site or its tools. Where liability cannot be excluded, it is limited to the extent the law allows. This section does not limit any obligation EDC takes on in a signed engagement agreement.
Governing law
These terms are governed by the laws of the State of Missouri, without regard to conflict-of-law rules. If any part of these terms is found unenforceable, the rest remains in effect.
Changes
We may update these terms from time to time. When we do, we will change the date at the top of this page. Using the site after an update means you accept the updated terms.
